These Terms of Service govern your use of the Swedana Studio website and all client engagements executed under our standalone 360° service model.
100% IP Assignment
Complete assignment of all custom codebases, design assets, and marketing collateral to the client upon milestone payment.
Direct Senior Engineering
No outsourced sub-tier staffing or junior proxies. All projects are executed directly by senior partners and engineers.
Transparent Milestones
Fixed-price sprint scope deliverables with clear criteria, stage-gate reviews, and production deployment guarantees.
01.Acceptance of Terms
By accessing or browsing swedana.in, initiating interactive scope estimates, submitting project briefs, or executing a Statement of Work (SOW) with Swedana Studio, you agree to be bound by these Terms of Service.
If you are entering into an agreement on behalf of a corporation or entity, you represent that you hold legal authority to bind that entity to these terms.
02.Scope of Services
Swedana Studio provides software engineering, autonomous AI agent architecture, web development, social media creative marketing, and human resource management services.
Specific deliverables, project schedules, pricing, technical specifications, and milestone acceptance criteria are defined in individual Statements of Work or master service contracts agreed upon between Swedana and the client.
03.Intellectual Property & Deliverable Assignment
100% Client Ownership: Upon full and final settlement of agreed sprint fees for a specific deliverable, Swedana irrevocably assigns all rights, titles, copyright, patent rights, and trade secret claims in custom source code, documentation, and design assets created for the client.
Pre-Existing Utilities: Standard open-source libraries or non-exclusive studio boilerplate frameworks utilized in project buildouts remain under their respective open-source licenses (e.g., MIT, Apache 2.0).
04.Client Obligations & Material Provision
To maintain agreed sprint timelines, clients agree to:
- Provide timely access to required API credentials, cloud environments, and domain registrations.
- Deliver brand guidelines, raw assets, or copy needed for sprint completion within scheduled review windows.
- Designate a primary client contact empowered to approve milestones and stage-gate releases.
05.Payments, Invoicing & Milestones
Services are invoiced based on agreed milestone schedules or sprint retainers. Payment terms are strictly outlined in each SOW. Invoices are payable in USD or INR via wire transfer, bank payment, or approved digital payment portals.
Work commences upon receipt of initial milestone deposits. Swedana reserves the right to pause production or staging deployments in the event of overdue invoices exceeding 15 business days.
06.Warranty & Bug Fix Support
Swedana warrants that deliverables will perform in material accordance with agreed technical specifications upon handoff.
All custom software projects include a standard 30-day post-launch warranty window, during which any critical bugs or technical defects identified in production are remediated at zero additional cost.
07.Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages arising out of or related to this agreement. Swedana's cumulative liability under any SOW shall not exceed the total fees paid by the client under that specific SOW.
08.Governing Law & Inquiries
